Terms & Conditions

These govern access to and use of www.edgebound.ai, owned by TBR Software S.A. de C.V. By using the Site, you agree to be bound by these Terms.

Acceptance of the Terms

These Terms & Conditions (the “Terms”) govern access to and use of the website www.edgebound.ai (the “Site”), owned by TBR Software S.A. de C.V. (“Edgebound”, “Edgebound Labs”, “we” or “our”), with address at Torre Virreyes, Pedregal 24, Floor 2, Col. Molino del Rey, Miguel Hidalgo, Mexico City.

By accessing, browsing or using the Site, the user (the “User”) agrees to be bound by these Terms, as well as by our Privacy Notice. If the User does not agree with any of these Terms, they must refrain from using the Site.

Edgebound reserves the right to modify these Terms at any time. Changes take effect upon publication on the Site. Continued use of the Site after the modified Terms are published constitutes acceptance of those changes.

Description of the Site

The Site is an informational and lead-generation platform through which Edgebound:

  • Presents information about its consulting services in artificial intelligence strategy, MACH architecture, digital commerce and AI products.
  • Publishes editorial content, research and articles in its Lab (blog) section.
  • Offers free interactive tools, including an AI maturity assessment questionnaire (AI Readiness Quiz) and a conversational assistant based on artificial intelligence (Ask AI).
  • Lets users request information or establish commercial contact through forms.

The Site is not an e-commerce platform. No sales, payments or service contracting take place through the Site. Contracting Edgebound’s professional services is formalized through separate agreements.

Permitted use of the Site

The User agrees to use the Site lawfully, in accordance with applicable Mexican law, these Terms, and good morals and customs. The User undertakes to refrain from:

  • Using the Site for unlawful or fraudulent purposes or in ways that infringe third-party rights.
  • Attempting to access, without authorization, systems, servers or networks connected to the Site.
  • Introducing viruses, malicious code, automated scripts or any technology that could damage, interfere with or overload the operation of the Site.
  • Reproducing, distributing, modifying or creating derivative works from the Site’s content without Edgebound’s prior written authorization.
  • Using bots, scrapers, crawlers or other automated tools to extract Site content in bulk, except for the standard exceptions for legitimate search engines under the Site’s robots.txt file.
  • Impersonating another person or entity when interacting with the Site’s tools.
  • Providing false or misleading information in the contact forms.
  • Using the Site’s AI tools to generate unlawful, defamatory or discriminatory content, or content that violates third-party rights.

Intellectual property

All Site content —including by way of example and without limitation: text, articles, research, designs, logos, trademarks, trade names, graphics, images, source code, software, user interfaces and the general structure of the Site (the “Content”)— is owned by Edgebound or used under license, and is protected by Mexican and international intellectual and industrial property laws.

The marks “Edgebound”, “Edgebound Labs” and their respective logos are registered or pending trademarks of TBR Software S.A. de C.V. Their use without prior written authorization is prohibited.

Access to the Site does not grant the User any license, right of use or authorization over Edgebound’s intellectual property, except the limited, non-exclusive, revocable and non-transferable right to view the Content for personal, non-commercial purposes.

4.1 · Lab (Blog) content

Lab articles, research and posts may be partially quoted for informational or academic purposes, provided that express credit is given to Edgebound Labs and a link to the original article is included. Full reproduction requires prior written authorization.

Artificial Intelligence tools

The Site includes artificial intelligence-based tools that the User may use free of charge, subject to the following conditions:

5.1 · AI Readiness Quiz

The AI maturity assessment questionnaire is an indicative tool designed to give the User a preliminary evaluation of their organization’s readiness to implement artificial intelligence solutions in their digital commerce operation.

  • The Quiz results are indicative and do not constitute a professional diagnosis, a technical audit or binding advice.
  • Edgebound does not guarantee the accuracy, completeness or applicability of the results to each User’s particular situation.
  • The Quiz requires no registration or personal data for basic use.

5.2 · Ask AI (Asistente Conversacional)

Ask AI is a conversational assistant based on artificial intelligence models that lets users make general queries about Edgebound’s services, as well as about digital commerce and artificial intelligence trends.

  • Responses generated by Ask AI are informational and do not constitute professional, legal, financial or technical advice.
  • Edgebound does not guarantee the accuracy, timeliness or completeness of the responses generated by Ask AI.
  • The User must not enter sensitive personal data, confidential organizational information or third-party data in conversations with Ask AI.
  • Edgebound may use anonymous and aggregated interactions with Ask AI to improve service quality, without associating them with individual users.
  • Edgebound reserves the right to limit, suspend or modify Ask AI’s features at any time without prior notice.

The Site’s AI tools do not replace professional judgment. For formal assessments, diagnoses or implementation strategies, the User should engage Edgebound’s professional services or a qualified consultant.

Contact forms and User data

The Site contains forms that allow the User to request information, schedule exploratory calls or express interest in Edgebound’s services. By submitting a form, the User:

  • Declares that the information provided is truthful, current and complete.
  • Agrees that Edgebound may contact them through the indicated means to follow up on their request.
  • Acknowledges that submitting a form does not create any contractual obligation for either party.

The processing of personal data provided through the forms is governed by Edgebound’s Privacy Notice.

Third-party content and external links

The Site may contain links to third-party websites, as well as references to third-party products, services or technologies (including MACH platforms, AI providers and digital commerce tools, among others). Such links and references are provided for informational purposes only.

  • Edgebound does not control, endorse or assume any responsibility for the content, privacy policies, security practices or availability of third-party websites.
  • Access to third-party websites from the Site is at the User’s sole responsibility.
  • Mentioning third-party products, services or technologies does not imply sponsorship, association or recommendation by Edgebound, unless expressly stated.

Site availability

Edgebound will make commercially reasonable efforts to keep the Site continuously available. However, the User acknowledges and accepts that:

  • The Site may experience temporary interruptions due to scheduled maintenance, updates, technical failures or force majeure.
  • Edgebound does not guarantee uninterrupted availability or the absence of errors on the Site.
  • Edgebound may modify, suspend or discontinue any Site functionality, including the AI tools, at any time and without any liability toward the User.

Limitation of liability

To the maximum extent permitted by applicable Mexican law:

9.1 · Disclaimer of warranties

The Site, including all its Content and AI tools, is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose or non-infringement.

9.2 · Limitation of damages

Edgebound will not be liable for direct, indirect, incidental, special, consequential or punitive damages arising from:

  • The use of, or inability to use, the Site or its tools.
  • Decisions made by the User based on the information or results obtained from the Site, the AI Readiness Quiz or Ask AI.
  • Unauthorized access to data transmitted to or from the Site.
  • Service interruptions, viruses or other harmful elements transmitted through the Site.
  • Content or practices of third-party websites linked from the Site.

9.3 · No professional advice

No Site content —including Lab articles, AI Readiness Quiz results and Ask AI responses— constitutes professional, legal, financial, technical or business advice. The User is solely responsible for the decisions they make based on information obtained from the Site.

Indemnification

The User agrees to defend, indemnify and hold harmless Edgebound, its officers, employees, contractors and agents from any claim, damage, obligation, loss, liability, cost or debt (including attorneys’ fees) arising from:

  • The User’s breach of these Terms.
  • The User’s improper use of the Site or its tools.
  • The User’s violation of any applicable law or the rights of a third party.

Information security

Edgebound holds ISO/IEC 27001:2022 certification and applies administrative, technical and physical security measures to protect information transmitted through the Site. The Site uses SSL/TLS encryption for data transmission.

Nevertheless, the User acknowledges that no data transmission over the Internet is completely secure. Edgebound cannot guarantee the absolute security of information transmitted to or from the Site, and any transmission is made at the User’s own risk.

Governing law and dispute resolution

12.1 · Governing law

These Terms shall be governed and interpreted in accordance with the laws in force in the United Mexican States, including the Commercial Code, the Federal Civil Code and consumer-protection and personal-data-protection legislation.

12.2 · Disputes between domestic parties

For any dispute arising from these Terms between parties domiciled in Mexico, the parties submit to the jurisdiction of the competent courts of Mexico City, expressly waiving any other jurisdiction that might apply to them by reason of their present or future domicile.

12.3 · International arbitration

Any dispute arising from these Terms involving a party domiciled outside the United Mexican States will be resolved definitively through arbitration administered by the Mexico Arbitration Center (CAM), in accordance with its Arbitration Rules in force at the time the request is filed, under the following conditions:

  • The arbitral tribunal will consist of a single arbitrator appointed under the CAM Rules.
  • The seat of arbitration will be Mexico City, Mexico.
  • The language of the arbitration will be Spanish, unless the parties agree otherwise.
  • The applicable substantive law will be Mexican law.
  • The arbitral award will be final, binding and non-appealable for the parties, and may be enforced before any competent court.

Before initiating any arbitration proceeding, the parties undertake to attempt to resolve the dispute in good faith through direct negotiation for a period of thirty (30) calendar days from the written notice of the dispute.

Severability

If any provision of these Terms is declared null, invalid or unenforceable by a competent court or arbitrator, the remaining provisions will continue in full force and effect. The affected provision will be interpreted in the manner that best reflects the parties’ original intent within the applicable legal framework.

Assignment

The User may not assign or transfer their rights or obligations under these Terms without Edgebound’s prior written consent. Edgebound may assign these Terms or any of its rights or obligations to a third party, upon notice to the User by publication on the Site.

Entire agreement

These Terms, together with the Privacy Notice and the Cookie Policy published on the Site, constitute the entire agreement between the User and Edgebound regarding the use of the Site, and supersede any prior or contemporaneous agreement, communication or proposal, whether oral or written, relating to the Site.

These Terms do not govern or replace the professional-services agreements that the User may enter into separately with Edgebound.
